Terms of Service

1. Acceptance of Terms

By accessing or using the Ascend Vials website (“Site”) or placing an order, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not use the Site or purchase any products. These Terms constitute a legally binding agreement between you and Ascend Vials (“we,” “our,” or “us”).

2. Eligibility

You must meet all of the following conditions to use our Site and purchase products:

  • You must be at least 18 years of age.
  • You must be purchasing products for legitimate in-vitro research and laboratory purposes only.
  • You must be legally permitted to purchase such products in your jurisdiction.
  • You must not be purchasing on behalf of any entity intending to use products for human consumption, veterinary use, or any therapeutic application.

3. Product Disclaimers

ALL PRODUCTS SOLD BY ASCEND VIALS ARE INTENDED STRICTLY FOR IN-VITRO RESEARCH AND LABORATORY USE ONLY.

  • Products are NOT for human consumption.
  • Products are NOT for veterinary use.
  • Products are NOT intended for any therapeutic, diagnostic, or medicinal purpose.
  • Products are NOT dietary supplements, food additives, or drugs.

The buyer assumes full responsibility for the proper handling, storage, and use of all products in accordance with all applicable federal, state, and local laws and regulations. By purchasing from Ascend Vials, you acknowledge and agree that you are a qualified researcher or are affiliated with a research institution, and that products will be used exclusively for lawful research purposes.

Ascend Vials makes no claims regarding the safety or efficacy of any product for use in humans or animals. Product descriptions and information provided on this Site are for informational and research reference purposes only and do not constitute medical advice.

4. Account Responsibility

If you create an account on our Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. Ascend Vials is not liable for any loss or damage arising from unauthorized use of your account.

5. Ordering and Pricing

  • All prices are listed in U.S. Dollars (USD) and are subject to change without prior notice.
  • We reserve the right to cancel or refuse any order for any reason, including but not limited to product availability, pricing errors, or suspected fraud.
  • We reserve the right to limit order quantities at our sole discretion.
  • Order confirmation does not constitute acceptance of your order. Acceptance occurs when we ship the product.
  • In the event of a pricing error, we will notify you and provide the option to confirm or cancel your order at the corrected price.

6. Shipping Policy

  • Orders are typically processed within 1–3 business days.
  • Shipping times vary based on the selected shipping method and destination.
  • Risk of loss and title for items pass to you upon delivery of the items to the shipping carrier.
  • Ascend Vials is not responsible for delays, loss, or damage caused by the shipping carrier after the package has been tendered for shipment.
  • It is the buyer’s responsibility to provide accurate shipping information. We are not responsible for orders shipped to incorrect addresses provided by the buyer.
  • Shipments may require a signature upon delivery depending on order value.

7. Returns and Refunds

Due to the nature of our products and strict quality control requirements, our return policy is limited:

  • Returns are accepted only for damaged, defective, or incorrect items.
  • You must contact us within 48 hours of delivery to report any issue, including photographic evidence of the damage or error.
  • Opened, used, or tampered products cannot be returned under any circumstances.
  • Refunds, when approved, will be issued to the original payment method within 5–10 business days.
  • Shipping costs are non-refundable unless the error was on our part.
  • We reserve the right to deny any return or refund request that does not meet these conditions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCEND VIALS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS.

Ascend Vials is not liable for any damages, injury, or harm resulting from the misuse, improper handling, or improper storage of any products purchased from our Site. Our total liability for any claim arising from a purchase shall not exceed the purchase price of the product(s) in question.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ascend Vials, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of any products purchased from Ascend Vials
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any third-party claim related to your use of our products

10. Intellectual Property

All content on the Ascend Vials website — including but not limited to text, graphics, logos, images, product descriptions, branding, and software — is the property of Ascend Vials or its content suppliers and is protected by United States and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

11. Prohibited Uses

You agree not to:

  • Purchase products for human consumption or veterinary use
  • Resell products without prior written authorization from Ascend Vials
  • Use the Site or products in violation of any applicable federal, state, local, or international law or regulation
  • Provide false or misleading information when placing orders
  • Attempt to interfere with or disrupt the operation of the Site
  • Use automated systems (bots, scrapers) to access the Site without permission
  • Impersonate any person or entity or misrepresent your affiliation

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Florida.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the purchase of products shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of Florida. The arbitrator’s decision shall be final and binding.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Modification of Terms

Ascend Vials reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ascend Vials regarding your use of the Site and purchase of products, superseding any prior agreements or communications.
